MOA Driver Partner Agreement

This Driver Partner Agreement ("Agreement") outlines the rights, responsibilities, and obligations of MOA Media (referred to as "the Company" or “MOA”) and the Driver Partner ("Driver") regarding the advertising services provided by the Driver. 

1. Independent Contractor Relationship

1.1. Nature of Engagement
The Driver is engaged as an independent contractor and not as an employee, agent, or partner of MOA. The Driver will hold a valid Australian Business Number (ABN) and is responsible for managing their own tax obligations, insurance, and superannuation contributions.

1.2. Vehicle and Expenses
The Driver will use their personal vehicle to display advertising materials provided by MOA. The Driver is responsible for all operational expenses, including fuel, maintenance, insurance, and registration.

1.3. No Exclusivity
The Driver may perform services for other entities provided such services do not conflict with their obligations under this Agreement.

  1. Advertising Responsibilities

2.1. Application of Advertisements
MOA will supply the Driver with advertising materials to be applied to the rear of the vehicle as per the provided instructions. The Driver is responsible for ensuring the advertisement is displayed correctly and remains intact for the agreed duration.

2.2. Advertising Period
The standard advertising period is one calendar month unless otherwise specified or agreed upon.

2.3. Compliance
The Driver must:

  • Keep the advertisement clean, visible, and intact throughout the advertising period.
  • Notify MOA immediately if the advertisement is damaged, stolen, or removed without authorization.

2.4. Verification
The Driver must submit photographic evidence of the advertisement, including the vehicle’s license plate, at the start and end of the advertising period. Failure to comply may result in forfeiture of payment.

3. Invoicing and Payment

3.1. Invoicing Process
The Driver must submit an invoice to MOA at the end of the advertising period. MOA will provide an invoice template to ensure compliance with its requirements.

3.2. Payment Terms
Payment will be processed within 7 business days of the invoice's approval. MOA reserves the right to reject or request amendments to invoices if they contain errors or inconsistencies.

3.3. Earnings Cap
The standard remuneration is capped at $300 per month unless otherwise specified in writing by MOA.

4. Early Dismissal and Adjustments

4.1. Approved Early Removal
The Driver may request early removal of the advertisement under certain conditions, including but not limited to:

  • Vehicle damage or sale
  • Loss of license
  • Authority-mandated removal
  • Personal emergencies

Approved cases will result in prorated payment based on the number of weeks the advertisement was displayed.

4.2. Unauthorized Removal
Unauthorized or unapproved removal of the advertisement will result in forfeiture of payment for the entire advertising period.

5. Communication and Notifications

5.1. Primary Communication Channels
MOA will communicate with the Driver via email and phone. Drivers are responsible for providing updated contact details.

5.2. Reporting Issues
The Driver must notify MOA promptly if:

  • The advertisement is damaged or non-adhesive.
  • Any issues arise that prevent compliance with the Agreement.

MOA will supply a replacement advertisement or extend the advertising period as necessary.

6. Insurance and Liability

6.1. Driver Responsibility
The Driver is responsible for maintaining insurance coverage for their vehicle.

6.2. Limitation of Liability
MOA will not be held liable for:

  • Damage to the Driver’s vehicle caused by the advertisement.
  • Traffic violations, accidents, or other incidents occurring while the advertisement is displayed.

7. Termination

7.1. Termination by MOA
MOA reserves the right to terminate this Agreement at any time for breaches of its terms or at its sole discretion with reasonable notice.

7.2. Termination by the Driver
The Driver may terminate this Agreement with at least 7 days’ notice. Unapproved removal of advertisements will forfeit any pending payments.

8. Confidentiality

The Driver agrees to maintain the confidentiality of any non-public information received from MOA during the engagement.

9. Dispute Resolution

9.1. Negotiation
Both parties agree to attempt to resolve disputes through good faith negotiation.

9.2. Mediation
If negotiations fail, disputes will be referred to mediation as per Australian Dispute Resolution standards.

10. General Provisions

10.1. Governing Law
This Agreement is governed by the laws of Australia.

10.2. Entire Agreement
This document constitutes the entire Agreement between the parties and supersedes all prior agreements.

10.3. Amendments
Any amendments to this Agreement will be notified to the Driver via email
